First, I would sketch out a general idea of what you want. Then, type in the text, since that is usually the most important. Next find a color scheme and an appropriate background. Finally add some effects, and your done!

think about what your company offers and think about what stands out, maybe research other companys like yours, what they offer and you offer.. dont copy their logo of course, dont even make it similar make it different but make it make sense.. everything else everyone else said is also what to do..
