using photoshop you can adjust the Layer Transparency and then save it as a .PSD or .PNG file.
If you want to end up with a single image made from the two... first open the bottom image, then paste the top image into a new layer... adjust the Layer Transparency so you have it how you like it... and then flatten the image and save in any format you wish.
Of course, saving as .PSD (before you flatten) will allow you to make corrections later.
